2. Acceptance of These Terms
By accessing or using our website, submitting an enquiry, requesting a quotation, purchasing a software product, subscribing to a service or entering into a software development or service agreement with us, you agree to these Terms to the extent applicable to your use of the relevant website, product or service.
If you are accessing or using our services on behalf of a company, partnership, proprietorship or other organisation, you represent that you are authorised to act on its behalf. In that case, “you” and “your” may refer to that organisation.
If you do not agree to these Terms, you must discontinue use of the relevant website, product or service.
Certain products and services may be subject to additional terms, software licence agreements, subscription agreements, quotations, statements of work or other written agreements. Where applicable, those additional terms will govern the relevant product or service. If there is a conflict, the specific written agreement will prevail over these general Terms to the extent of that conflict.
3. Scope of Our Services
TaborCloud may offer the following products and services:
- Standard software products, including SCERP.
- Custom software development and application development.
- ERP implementation, configuration, customisation and integration.
- Software licensing, subscription access and renewals.
- Installation, deployment, migration and technical support.
- Cloud hosting, software maintenance and related services, where offered.
- Consulting and other business technology services.
The availability, features, pricing, technical requirements and delivery arrangements of each product or service may vary.
Information on this website is provided for general informational and business purposes. Publishing information about a product or service does not constitute a binding offer to supply it on any particular terms.
4. Use of the Website
You agree to use our website lawfully and responsibly.
You must not:
- Use the website for any unlawful, fraudulent or deceptive purpose.
- Attempt to gain unauthorised access to our website, servers, systems or customer accounts.
- Introduce malware, malicious code or other harmful material.
- Interfere with the security, availability or normal operation of the website.
- Scrape, copy or systematically extract website content in a manner that violates applicable law or our rights.
- Misrepresent your identity or authority when contacting us or using our services.
- Infringe our intellectual property rights or the rights of any third party.
We reserve the right to restrict access to the website where reasonably necessary for security, maintenance, legal compliance or the protection of our business and users.
5. Enquiries, Quotations and Orders
You may contact us through our website or other communication channels to request information, quotations, demonstrations or proposals.
Any quotation or proposal may specify the applicable scope, deliverables, pricing, taxes, payment schedule, timelines, assumptions, exclusions, support arrangements and other commercial conditions.
Unless expressly stated otherwise, quotations are valid only for the period specified in them. If no validity period is stated, we may revise or withdraw a quotation before accepting an order.
A binding engagement for paid software, custom development or professional services will arise when the relevant quotation, purchase order, statement of work, agreement or other order is accepted in accordance with the applicable commercial terms.
Project timelines depend on the agreed scope, timely receipt of information and approvals, access to required systems, and other dependencies. Any delivery dates will be subject to the terms agreed for the relevant project.
6. Software Products and Licensing
6.1 Software Licence
Our software products, including SCERP, are made available under the applicable licence or subscription terms.
Unless expressly authorised by a separate written agreement, purchasing or subscribing to a software product does not transfer ownership of the software or its underlying intellectual property to you.
Subject to payment of applicable fees and compliance with the relevant licence terms, we grant you the right to use the software within the scope, duration, user limits, deployment model and other restrictions specified in your order or licence agreement.
Depending on the product and arrangement, software may be supplied as locally installed software, a standalone application, a local network deployment or a cloud-based service.
6.2 Restrictions
Unless expressly permitted by applicable law or by a written agreement with us, you must not:
- Copy, modify, distribute, sell, sublicense or commercially exploit our software beyond the rights granted to you.
- Reverse engineer, decompile or disassemble the software, except to the extent such restriction is prohibited by applicable law.
- Circumvent licence checks, security mechanisms or access restrictions.
- Remove proprietary notices or copyright information.
- Share credentials or permit access beyond the authorised users or entities.
- Use the software to develop or support an unauthorised competing product.
6.3 Updates and Changes
We may release patches, updates, new features, improvements or revised versions of our software.
The availability of updates, the scope of maintenance and whether updates are included in the purchase price or subscription fee will depend on the applicable product and commercial agreement.
We may modify or discontinue individual features where reasonably necessary, subject to any specific contractual commitments and applicable law.
6.4 Third-Party Components
Our software may incorporate or interact with third-party software, libraries, services or platforms. Such components may be subject to separate licence terms or third-party conditions.
Where applicable, you agree to comply with those conditions.
7. Custom Software Development
Custom software development services are provided according to the scope and requirements agreed in the applicable quotation, proposal, statement of work or development agreement.
7.1 Scope and Changes
The agreed project documentation will define the deliverables, functionality, milestones, acceptance criteria and other relevant requirements, where applicable.
Changes to the agreed scope may affect the project price, delivery schedule and technical approach. We may require written approval of a change request before undertaking additional work.
7.2 Customer Responsibilities
You agree to provide accurate requirements, timely feedback, necessary approvals, relevant business information and lawful access to systems or data required for the project.
Delays arising from missing information, delayed approvals, changes in requirements or dependencies outside our reasonable control may affect the project schedule.
7.3 Testing and Acceptance
Where acceptance testing is specified in the relevant project agreement, you must review the deliverables according to the agreed testing procedure and timelines.
Defects, deviations and acceptance criteria will be addressed in accordance with the applicable project agreement. If no specific acceptance procedure has been agreed, acceptance and any applicable remedies will be determined by the written agreement and applicable law.
8. Intellectual Property Rights
Unless expressly agreed otherwise in writing, TaborCloud retains ownership of its pre-existing and independently developed intellectual property, including:
- Software products and standard modules.
- Source code, object code, frameworks and reusable components.
- Development tools, methods, algorithms and technical know-how.
- Templates, libraries, documentation and general software architecture.
- Improvements and enhancements to our underlying technology.
For custom development projects, ownership of project-specific deliverables, source code, documentation and other materials will be determined by the relevant written agreement.
Unless the applicable agreement expressly provides otherwise, payment for custom development does not automatically transfer ownership of our pre-existing software, reusable components, tools or know-how incorporated into the deliverables.
You retain ownership of your pre-existing intellectual property and customer data, subject to any rights expressly granted to us under the relevant agreement.
You must not use our trademarks, logos, product names or other branding without our prior written permission, except where permitted by law.
9. Fees, Payments and Taxes
Fees for software licences, subscriptions, development projects, implementation, hosting, support and other services will be specified in the applicable quotation, order, invoice or agreement.
Unless otherwise stated in the relevant commercial terms:
- Fees are payable according to the agreed payment schedule.
- Applicable taxes, including GST, will be charged as required by law.
- You are responsible for providing accurate billing details and any information reasonably required for invoicing.
- Subscription fees may recur at the agreed frequency and amount.
- Additional work, integrations, hosting, support or customisation outside the agreed scope may attract additional charges.
Where permitted by law and the applicable agreement, overdue payments may result in interest, suspension of services or other remedies following any applicable notice or cure period.
Any refund, cancellation, credit or adjustment will be governed by the applicable order, subscription terms and law. Nothing in these Terms excludes a refund or remedy that is required by applicable law.
10. Subscriptions, Renewals and Cancellation
Certain software products and services may be offered on a recurring subscription basis.
The applicable subscription terms will specify the subscription period, fees, renewal arrangements, cancellation procedure and any notice period.
Where automatic renewal applies, the renewal mechanism and applicable charges will be disclosed through the relevant order, subscription terms or checkout process, as applicable.
You may cancel a subscription using the procedure specified in the applicable agreement or by contacting us through our official contact channels.
Unless otherwise specified in the applicable agreement or required by law, cancellation will take effect at the end of the current subscription period. Cancellation does not automatically waive fees already due or payment obligations for work already performed.
Upon expiry or termination, access to subscription-based features may be discontinued. Any data export, retrieval, retention or deletion arrangements will be governed by the applicable agreement and our Privacy Policy.
11. Data, Privacy and Security
We may collect and process personal information when you browse our website, submit enquiries, purchase products, use our services or communicate with us.
Our handling of personal information is described in our Privacy Policy, available at https://taborcloud.com/privacy.
Where our software processes customer business information, financial records, employee information or other data, you are responsible for ensuring that you have the necessary rights, permissions and lawful basis to provide and process that data.
Depending on the service arrangement, TaborCloud may process such data on your behalf to provide software, hosting, maintenance, support or related services.
The parties’ respective responsibilities concerning personal data, confidentiality, security, data retention, data access and incident management may be further specified in a separate agreement.
We implement reasonable measures appropriate to the relevant service to protect information and systems under our control. However, no internet-based system, software application or data transmission can be guaranteed to be completely secure.
You should maintain appropriate backups of important business information, particularly where you operate locally installed software or manage your own hosting environment.
12. Customer Data and Business Records
You retain ownership of the business data and records that you enter into or upload to our software, except for any rights belonging to third parties.
You are responsible for:
- The accuracy, completeness and legality of data entered into the software.
- Maintaining appropriate access controls and protecting user credentials.
- Reviewing financial statements, reports, tax calculations and other business outputs.
- Maintaining backups in accordance with the deployment model and agreed service arrangements.
- Ensuring that your use of the software complies with applicable laws and regulatory requirements.
We do not acquire ownership of your customer data merely because you store or process it using our software.
Where applicable, data export, migration, retention and deletion will be handled according to the relevant service agreement and our Privacy Policy.
13. Tax, Accounting and Regulatory Compliance
Software products such as SCERP may support accounting, invoicing, inventory management, GST reporting or e-invoicing workflows.
Our software is intended to assist business operations. It does not replace professional accounting, tax, legal or other regulatory advice.
You remain responsible for verifying the accuracy of transactions, accounting entries, tax classifications, invoice details, GST returns and other statutory submissions generated or supported by the software.
Where the software integrates with a government portal, an Invoice Registration Portal (IRP), a payment provider or another third-party service, the availability and operation of that integration may depend on external systems, credentials, connectivity, applicable rules and third-party policies.
We do not guarantee that every transaction, invoice or submission will be accepted by an external authority or that the software will independently ensure compliance with every legal or regulatory requirement.
You should verify important outputs and obtain professional advice where necessary.
14. Hosting, Availability and Technical Support
Availability, performance, maintenance and support commitments will depend on the product and deployment model.
For cloud-based services, access may occasionally be interrupted due to scheduled maintenance, security updates, network failures, infrastructure issues, third-party outages or circumstances beyond our reasonable control.
For locally installed or customer-hosted software, performance and availability may depend on your hardware, operating system, network, database, configuration, third-party components and maintenance practices.
Support response times, service levels, backup arrangements, recovery objectives and maintenance obligations will apply only where expressly included in the relevant agreement.
Unless a separate service-level agreement provides otherwise, we do not guarantee uninterrupted or error-free availability of the website or software.
15. Third-Party Services and Integrations
Our website or software may link to, integrate with or rely on third-party websites, APIs, hosting providers, payment systems, communication platforms or other external services.
Such third-party services are generally governed by their own terms and privacy policies.
We are not responsible for the independent acts, omissions, availability, security practices or policies of third parties, except to the extent responsibility cannot lawfully be excluded or is expressly assumed under a written agreement.
Any third-party integration is subject to the technical capabilities and terms of the relevant provider.
16. Warranties and Disclaimers
We will provide paid products and services in accordance with the applicable written agreement and any warranties expressly given under that agreement.
Except for express contractual commitments and rights that cannot be excluded under applicable law, the website and general informational content are provided on an “as available” basis.
To the extent permitted by law, we do not warrant that:
- The website or software will always be uninterrupted, timely, secure or error-free.
- Every software feature will meet requirements that have not been expressly agreed.
- All defects can be identified or corrected immediately.
- The software will operate without interruption from third-party systems or infrastructure.
- General information on our website will be complete or suitable for every business decision.
Nothing in these Terms excludes any warranty, consumer right or other protection that cannot lawfully be excluded or restricted.
17. Limitation of Liability
To the maximum extent permitted by applicable law, TaborCloud will not be liable for indirect, incidental, special or consequential losses, including loss of profits, loss of business opportunities, loss of anticipated savings or loss of goodwill, arising from the use of or inability to use our website, software or services.
To the extent permitted by law, we will not be responsible for losses arising from inaccurate customer data, unauthorised access caused by compromised customer credentials, customer-managed infrastructure, third-party outages or use of software contrary to its documentation or agreed purpose, except to the extent caused by our breach of contract, negligence, wilful misconduct or other conduct for which liability cannot lawfully be excluded.
Where liability is limited under a separate written agreement, that agreement will govern the relevant service.
For services not covered by a separate liability provision, any monetary cap on our liability must be determined by the applicable agreement and law. Nothing in these Terms is intended to exclude or limit liability for fraud, wilful misconduct or any other liability that cannot legally be limited.
18. Indemnification
To the extent permitted by applicable law, you agree to indemnify TaborCloud against third-party claims, losses and reasonable expenses arising directly from your unlawful use of our website or software, your infringement of third-party rights, or your material breach of these Terms.
This obligation will not apply to the extent a claim arises from our own breach of contract, negligence, wilful misconduct or other conduct for which you cannot lawfully be required to indemnify us.
Where appropriate, the parties will cooperate in handling relevant claims and will not agree to a settlement that imposes obligations on the other party without its consent.
19. Suspension and Termination
We may suspend or terminate access to a product or service where reasonably necessary because of:
- A material breach of the applicable agreement.
- Non-payment of amounts due, subject to applicable contractual notice requirements.
- A security threat, suspected unauthorised access or misuse.
- A legal or regulatory requirement.
- Discontinuation of a product or service in accordance with the applicable agreement.
Where reasonably practicable, we will provide notice and an opportunity to remedy a breach before suspension or termination, except where immediate action is necessary to protect systems, users, data or legal interests.
Termination will not affect rights or obligations that accrued before termination.
Provisions concerning intellectual property, unpaid fees, confidentiality, liability, indemnification, dispute resolution and any other provisions intended to survive termination will continue to apply as appropriate.
20. Confidentiality
Information disclosed by one party to the other may be confidential if identified as confidential or if its nature and circumstances reasonably indicate that it should be treated as confidential.
Each party agrees to use the other party’s confidential information only for the relevant business relationship and to take reasonable steps to prevent unauthorised disclosure.
Confidentiality obligations will not apply to information that is lawfully public, independently developed without use of confidential information, already lawfully known, or lawfully received from a third party without a duty of confidentiality.
Disclosure required by law may be made to the extent legally required, subject to any applicable notice obligations.
Specific confidentiality and non-disclosure agreements will take precedence over this section to the extent of any conflict.
21. Changes to These Terms
We may update these Terms from time to time to reflect changes in our business, products, services, technology or applicable law.
The revised Terms will be published on this website with an updated “Last Updated” date.
Unless otherwise stated or required by law, changes will apply prospectively from the date they are published. Material changes affecting existing paid services will be handled in accordance with the applicable agreement and applicable law.
Your continued use of the website after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law. Where affirmative consent is legally required, we will obtain it as applicable.
22. Governing Law and Dispute Resolution
These Terms will be governed by the laws of India.
The parties will endeavour to resolve disputes arising from these Terms through good-faith discussions.
If a dispute cannot be resolved amicably, it will be subject to the jurisdiction of the competent courts at Kottayam, Kerala, India, subject to applicable law and any valid dispute-resolution agreement between the parties.
Nothing in this section limits any mandatory rights or remedies available under applicable law.
23. General Provisions
Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
No waiver: Failure to enforce a provision does not constitute a waiver of the right to enforce it later.
Assignment: You may not transfer your rights or obligations under a product licence or service agreement without our consent, except where permitted under the applicable agreement or law.
Force majeure: Neither party will be responsible for delays caused by events beyond its reasonable control, subject to applicable law and the terms of the relevant agreement.
Entire agreement: These Terms, together with the applicable order, licence agreement, subscription terms, statement of work and other incorporated documents, form the agreement governing the relevant subject matter. They do not override a separate written agreement where that agreement expressly provides otherwise.
Relationship of the parties: Nothing in these Terms creates a partnership, joint venture, employment relationship or agency relationship between the parties.
